LEDGER REFERRAL PROGRAM TERMS AND CONDITIONS

1. Welcome to Ledger’s referral program

These Terms apply to your use of the Ledger Referral Program. We encourage you to read them carefully. Please also refer to the definitions set out at the bottom of this page. The Terms and any attachments related to it, including our Sales Terms and Conditions, Privacy Policy and Cookie Policy, and, applicable guidelines, form a legal Agreement between you and Ledger for your use of the Ledger Referral Program.

These Terms define the terms and conditions under which you are allowed to use the Ledger Referral Program. If you do not agree to these Terms, you must immediately discontinue your use of the Ledger Referral Program. Note: To facilitate the reading and understanding of these Terms and Conditions, we have defined some important notions. You will find them at this end of this page. Defined terms are those whose first letter is capitalized (whether used in the singular or plural).

Note: No refund will be made to any customers which participate in the Ledger Referral Program in a fraudulent way or in breach of this Agreement.Note: The address you provide will be the Address to which Ledger will send the rewards. Ledger is not responsible for any mistakes you make when providing the Address and you are solely responsible for providing the right Address and for the management of your Account and its access. If you have questions, please contact our Customer Support Team, we are at your disposal to help you.

2. How does the Ledger Referral Program work?

With the Ledger Referral Program, a Referrer, who previously purchased a Product, will be able to access the “Refer-a-friend” App through Ledger Live and share a Link to an Invitee. The Invitee then will be able to visit a personalised Ledger.com page to purchase a Product. Both the Referrer and the Invitee, having purchased a Product, can claim a Reward after a 30-days period through the Ledger Referral Program.

How can I join the Ledger Referral Program? As a Referrer, after the purchase of a Product and the set up of a Ledger Live account, You can access the “Refer-a-friend” App through the Discover section of Ledger Live. At this stage to create your Account you need to sign-in with an Etherum address.

As an Invitee, how can I join the Ledger Referral Program? As an Invitee or a Referrer, you bought a Product through the Link shared by one of your friend. You received your Product along with a Card with a Gift Code. Once you have set up your Ledger Live, you can access the App through the Discover section and create your Account by signing-in with an Ethereum address. There you will be able to use your Gift Code as explained below.

3. Rewards

As a Referrer, how do I earn a Referral Reward? Once your Account is created, you will obtain a Link that you will be able to share with your friends. By clicking on the Link, your friend, the Invitee, will be redirected to the Website and a custom “Ledger e-shop”. Once redirected, the Invitee can purchase a Product. If the purchase of the Product becomes a Qualified Referral you will be able to claim the Referral Reward. Each time your friend purchases a Product and a period of 30 days has passed without your friend canceling their order, the purchase becomes a Qualified Referral for you and you can claim USD10 worth of Bitcoin through your Account.

As an Invitee, how can I claim the Gift Code present on my Card? Upon purchase of your Ledger Product through your frien Link, You received a Ledger Product along with a Card. To redeem your first Referral Reward You have to scratch your Card, unveil the Gift Code and enter it in your Refer-a-friend account.

As an Invitee, what happens if I want to return my Ledger Product? In case you want to exercise your right of withdrawal, please refer to Article 8 of our Sales Terms and Conditions. You must return the item to us without undue delay and in any event no later than fourteen days after you have let us know of your decision to withdraw from the sales agreement. You must return the Ledger Product along with the unscratched Card for a full refund.

As an Invitee, how can I become a Referrer? After signing in to your Account for the first time, it is your turn to become a Referrer by sharing your Link to your friends.

Is the amount of the Referral Reward always the same? The amount of the Referral Reward may change from time to time.

How can I claim my Referral Reward? To claim your Referral Rewards you need to provide a Bitcoin Address. When selecting the option to claim your Referral Reward you can select one of the Bitcoin Address proposed or enter a new one.

Is there any screening done on the BTC address I provide? Payments in BTC are done by one of our services provider, they may conduct a KYC analysis on your BTC address.

Note: The address you provide will be the Address to which Ledger service provider will send the rewards. Ledger external service provider performs screening of the BTC address as required by the regulations applying to a crypto-asset service provider.

Ledger is not responsible for the KYC of the BTC address, should the address provided by you not pass the screening, you will be informed.

Ledger is not responsible for any mistakes you make when providing the Address and you are solely responsible for providing the right Address and for the management of your Account and its access.

How do I earn a Referral Reward? Once your Account is created, you will obtain a Link that you will be able to share with your friends. By clicking on the Link, your friend, the Invitee, will be redirected to the Website and a custom “Ledger e-shop”. Once redirected, the Invitee can purchase a Product. If the purchase of the Product becomes a Qualified Referral you will be able to claim the Referral Reward.

When will I receive my Referral Reward? You will receive your reward a few days after you have claimed it through Your Account.

Is there a maximum of friends I can refer? Is there a maximum amount I can claim? The maximum Referral Reward for Qualified Referrals in a a calendar year that can be claimed by a Referrer is USD1000 worth of Bitcoin. Once you have reached the Reward Limit of Qualified Referrals, you will not be able to refer a friend and claim a Referral Reward until your engagement in the Ledger Referral Program has been reset for another calendar year.

→ In practice, that means that you cannot accumulate your Rewards for the years 2022 and 2023 and then claim in 2023. You must claim your 2022 Rewards in 2022 and your 2023 Rewards in 2023.

Unfortunately, we can't guarantee payout on every friend you refer due to the limitations mentioned below and risk of fraud, but we make a good faith effort to do so whenever possible.

4. Eligibility

To become a Referrer and/or an Invitee, You need to have bought a Ledger Product on our Website. Purchases are required to have been made at full-price and not during any promotional period.

Once the Reward Limit has been reached you can no longer participate in the Ledger Referral Program as a Referrer and/or an Invitee until your engagement in the Ledger Referral Program has been reset for another year.

To become a Referrer or/and an Invitee, you must be at least eighteen (18) years old and have the legal capacity to contract.

5. Restrictions

You, the Invitee and/or the Referrer agree to only use the Ledger Referral Program for the purposes intended and as permitted by the Agreement and in accordance with applicable laws. If you use the Ledger Referral Program in breach of the Agreement or applicable laws we may suspend your use of the Ledger Referral Program.

As a Referrer, you are eligible to invite others to become Invitee(s) by sharing your Link. Your Link should be used as a personal invite, and not for commercial purposes. It is prohibited to do the following while using your Link:

Promoting your Link through the use of paid advertising with Ledger-related keywords. This includes, but is not limited to, bidding or running ads search brand keywords that include “Ledger” or any similar variations or using the Ledger brand in your ad copy;
Spamming, mass emailing, or performing any similar mass messaging;
Using automated systems, duplicate or fake accounts, bots or scripts;
Using the Ledger brand, the Ledger Referral Program, the Website, Products or any Ledger services in connection with any offensive, abusive, harassing, or defamatory content, or in any such manner contrary to the principles of fairness and integrity.

As a Referrer, you must refrain from making any warranties and/or representations concerning Ledger or assume any obligation of any kind whether express or implied on behalf of Ledger. You are not allowed to use Ledger’s intellectual property rights, except if and as explicitly authorized under these Terms. You must not violate any rules, guidelines or instructions that Ledger may convey with respect to the Ledger Referral Program, impersonate any person or entity, or making any false statement pertaining to your identity or engage in any activity that constitutes or encourages conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any applicable law.

You must promptly notify our Customer Support Team about any possible misuse and incident related to the Ledger Referral Program.

6. External resources

In the case you are provided with links to external resources while browsing the Ledger Referral Program, use them carefully as they are outside of our control. You acknowledge Ledger cannot be held responsible for any failures or damages caused by a third-party resource.

7. Warranty and disclaimer

Reminder: Security is of prime importance to Ledger, we share security tips everywhere in our content. Be your own defence!

You are responsible for your account, devices, personal information, and conduct. To learn more about using and securing your assets, check the Ledger Website regularly, including the Ledger Academy.

Ledger will use a reasonable level of skill and care to ensure that the Ledger Referral Program can be accessed by you in accordance with this Agreement, but there are no guarantees that access and features will not be interrupted or that there will be no delays, failures, errors, omissions, corruption or loss of transmitted information, or issues with payment of the Referral Reward. The Ledger Referral Program is provided “as is” without any warranty of any kind, either express or implied, and in particular without implied warranties of merchantability, reliability, and fitness for a particular purpose.

You are solely responsible for safeguarding your assets and Ledger has no duty to you or any user except as otherwise provided under this Agreement.

The information included on Ledger Live, the App or the Website does not constitute legal, financial, tax, or investment advice and is not intended as a recommendation for buying, trading, or selling crypto assets. It is recommended to do your own research before starting to buy, trade, or sell crypto assets. Ledger SAS, Ledger Technologies Inc., and all other companies mentioned on Ledger Live, the App or the Website will not be responsible for the consequences of reliance upon any opinion or statement contained herein or for any omission. You are also responsible for managing any tax implications as a result of your participation in this Ledger Referral Program.

Crypto assets are volatile. You should be fully aware of the level of risk involved before engaging in crypto-related activities. References to any securities or digital assets are for illustrative purposes only and do not constitute an investment recommendation or offer to provide investment advisory services. Any loss of data, crypto assets, or profit is your sole responsibility.

Please note that you are solely responsible for the way you use, store, and back up your information and data relating to your crypto assets (Bitcoins, Ethereum, NFTs, etc.).

8. Limitation of Liability

Nothing in these Terms limits Ledger’s liability for (a) fraud, wilful misconduct, and if required by applicable law, gross negligence; (b) death or personal injury caused by its negligence; or (c) any liability that cannot be excluded by law. To the fullest extent allowed by applicable law, you expressly understand and agree that:

Ledger, its affiliates, officers, representatives, directors, agents and employees shall not be liable to you for any indirect, incidental, special, consequential, punitive or exemplary damages, including, but not limited to, damages for loss of profits, goodwill, use, data, cost of procurement of substitute goods or services, or other intangible losses, arising out of the use or inability to use Ledger’s services, third party resources, regardless of legal theory, without regard to whether Ledger has been made aware of the possibility of those damages, and even if a remedy fails of its essential purpose;
in no event shall the maximum aggregate liability of Ledger arising out of these Terms and the Ledger Referral Program exceed the greater of (1) $100 or (2) the Referral Reward received by you.

9. Data protection

In the course of its activities, Ledger may have to process and collect personal data.

As a data controller, Ledger processes personal data under the terms set out in the French Law no. 78-17 of 6 January 1978, known as "Informatique et Libertés" amended, and the General Data Protection Regulation (the Regulation (EU) 2016/679).

Information regarding the way in which Ledger uses personal data under the Ledger Referral Program and how cookies are used on the Website can be found in our Privacy Policy and our Cookie Policy.

10. Term and termination

The Agreement will continue to apply as long as you use the Ledger Referral Program. Ledger reserves the right to:

suspend your access to the Ledger Referral Program at any time, including in the event of your actual or suspected unauthorized use of the Ledger Referral Program, or non-compliance with the Agreement;
suspend accounts, cancel the ability to use any Link or refuse a transaction if we notice any activity we believe fraudulent, improper, or unlawful or if we have reason to believe there has been a breach of these Terms;
review and investigate all referral activities and to suspend accounts or modify referrals as deemed fair and appropriate;
change the terms of the Referral Reward, terminate the Agreement and/or Ledger Referral Program at any time for any reason and without notice.

If you or Ledger suspends your access to the Ledger Referral Program, you agree that Ledger shall have no liability or responsibility to you.

Sections of the Agreement, that, either expressly or by nature, must remain in effect even after termination of the Agreement, shall survive termination.

11. General

Note: Rest assured, the data you provide to analyze your request is processed in strict compliance with our Privacy Policy.

11.1. Entire agreement

Except where otherwise provided, the Agreement constitutes all the terms and conditions agreed upon between you and Ledger and supersedes any prior agreements in relation to the subject matter of this Agreement.

In the event of any conflict between these Terms and any other document referred to herein, these Terms shall prevail.

11.2. Severability and waiver

In the event that any provision of these Terms is declared void or inapplicable, it shall be deemed to be replaced by a valid provision reflecting as closely as possible the objective pursued by the original provision. The other provisions shall not be affected and shall remain in full force and effect.

The fact that Ledger does not exercise its rights arising from these Terms does not in any case constitute a waiver or loss of these rights.

11.3. Assignment

Ledger may assign the Agreement or any part of them, and Ledger may delegate any of its obligations under the Agreement. You may not assign the Agreement or any part of them, nor transfer or sublicense your rights under the Agreement, to any third party.

11.4. Changes to the Terms

We reserve the right to change these Terms at any time by publishing an amended version on the Ledger website. You are free to decide whether or not to accept a revised version of these Terms. If you do not agree to any revised version of these Terms, you must discontinue your participation in the Ledger Referral Program.

12. Governing Law & Jurisdiction

These Terms are governed by French law. French law provides a high level of consumer protection. However, you also benefit from the protection provided by the mandatory laws of your country of habitual residence when these laws are more favorable to you and would have been applicable in the absence of a choice of French law.

In the event of a complaint or a question relating to the Ledger Referral Program, please contact Ledger via the live chat available at the bottom right of your screen here making sure to specify to provide any information to Ledger to allow it to assess the origin and implications of your complaint or question.

13. Definitions

“Account” means the “Refer-a-friend” account a Referrer creates and on which they can track the state of Referral Rewards.

“Address” means the Bitcoin and/or Ethereum address(es) provided by the Referrer to set up their Account and/or receive their Referral Reward.

“Agreement” is the collective term that encompasses these Terms, the Sales Terms and Conditions, the Privacy Policy, and the Cookie Policy.

“App” means the “Refer-a-friend” application accessible by Referrer through Ledger Live after the purchase of a Product.

“Card” means the card received along with the Product when an Invitee bought a Product for the first time through a Referrer Link.

“Gift Code” means the Gift Code present on the Card. The Gift Code can only be used once by the Invitee.

“Invitee” means the person who receives/received the Link and purchases a Product through that Link in accordance with the sales terms and conditions available at (https://shop.ledger.com/pages/terms-and-conditions).

“Ledger” means Ledger SAS, Ledger Technologies Inc., and all other entities that are part of the Ledger group of companies.

“Ledger Live” means the Ledger Live application.

“Ledger Referral Program” means the “Refer a friend” program accessible through the App.

“Link” means a hyperlink provided by Ledger and or any company designated by Ledger to the Referrer allowing the Referral Award for the Qualified Referral.

“Product” means any Ledger-branded product or bundle of products sold on Ledger’s website.

“Qualified Referral” occurs when an Invitee purchases a Product through the Link a Referrer provided. Only successfully completed purchases are accepted for a Qualified Referral.

“Referral Reward” means the reward given to the Referrer for a Qualified Referral.

“Referrer” means a person that sets up a “Refer-a-friend” Account and sends a Link to an Invitee.

“Reward Limit” means the threshold of USD1000 worth of Bitcoin claimed by the Referrer as a Referral Reward following a Qualified Referral.

“Terms” means these general terms and conditions applicable to your participation in the Ledger Referral Program.

“Website(s)” means the Ledger websites including ledger.com.
