LEDGER AGENT INTENT TERMS OF USE
28 September 2026
This agreement is between you (“you,” “your,” or “User”) and Ledger SAS (“Ledger,” “us,” “we,” “our,” or the “Company”). Ledger is a simplified joint-stock company with its registered offices located at 106 rue du Temple, 75003 Paris, France, and registered with the Paris Trade and Companies Register under number 529 991 119.
These Ledger Agent Intent Terms of Use (these “Terms”) apply whenever you use, initialize, install, or interact with Ledger Agent Intent, Ledger's service that empowers you to set rules and permissions for, and approve or reject transactions or other actions proposed by an AI agent, autonomous agent, or other AI-driven tool that you choose to use, via the Ledger Agent Intent web portal, Ledger Wallet, or any associated Ledger application programming interface (together, “Agent Intent”). These Terms constitute a complete and self-contained agreement governing your use of Ledger Agent Intent, whether or not you have separately accepted, or are otherwise subject to, the Ledger Wallet Terms of Use.
Please carefully read, understand, and accept these Terms before using Agent Intent. If you do not read and accept these Terms in their entirety, you should not use or continue using Agent Intent.
IMPORTANT LEGAL NOTICE
Agent Intent is a technology service, accessible via an online web portal, that lets you register an AI Agent, set the Agent Rules governing what it may propose, and review and approve or reject Intents and other actions it proposes, prior to Confirmation. Agent Intent is not itself an AI Agent or AI tool: it is the control and approval layer that is designed to sit between you and any AI Agent you choose to use. Agent Intent is not, and does not constitute, a financial service, brokerage, investment adviser, custodian, or any other regulated financial activity. Ledger does not provide any AI Agent nor recommend such AI Agent.
By agreeing to use Agent Intent and registering your AI agent, or initializing, installing, or using Agent Intent, including by clicking ‘I agree’ (or equivalent confirmation) on the Agent Intent web portal, or by otherwise configuring, authorizing, or continuing to use an AI agent in connection with Agent Intent, you confirm that you have read, understood, and agree to be bound by these Terms. Your use of any Third Party Services made available via Agent Intent will be subject to that third party's own terms and conditions, which you must separately review and accept, as described in Section 8 below. If you separately use Ledger Wallet for purposes other than Agent Intent, the Ledger Wallet Terms of Use will also apply to that separate use.
1. Definitions
The following capitalized terms have the meanings described below wherever used in these Terms:
“Affiliate” means, with respect to any legal entity, any other legal entity controlling, controlled by, or under common control with, such legal entity.
“AI Agent” means any autonomous or semi-autonomous software agent, whether operated by you, by a third party, or by an AI model or system, that generates, proposes, formats, or initiates instructions, prompts, or transaction requests intended to be processed, displayed, or confirmed through Agent Intent.
“Agent Intent” means Ledger Agent Intent, the online portal made available by Ledger (currently accessible via ledger.com or a related Ledger domain) through which you may register an AI Agent, configure Agent Rules, and review and approve or reject Intents, together with any associated Ledger application programming interface (API) that allows an AI Agent to interface with that portal, and any equivalent functionality that Ledger may in the future make available to you through Ledger Wallet or a Ledger Device. Agent Intent is a control and approval mechanism; it does not itself constitute or provide an AI Agent, and Ledger does not review, approve, or otherwise exercise discretion over the content of any Intent before you decide whether to approve or reject it; that decision is made solely by you. Ledger also does not develop, operate, train, or control the AI Agent's underlying model or logic.
"Agent Rules" means any rules, permissions, limits, or other parameters that you configure via Agent Intent to govern what an AI Agent may propose or do, or what an AI Agent may approve on your behalf. Agent Rules may, now or in the future, apply to a range of actions, which may or may not involve Crypto Assets. For security purposes, Ledger may from time to time define the categories of actions that are eligible to be governed by Agent Rules alone, and those that will always require your affirmative confirmation regardless of your Agent Rules. Ledger's role in defining these categories is limited to the security architecture of Agent Intent and does not involve reviewing, approving, or exercising discretion over the content of any specific Intent or Agent Rule you configure. Agent Rules are configured and controlled by you; Ledger does not set, recommend, or determine the content of your Agent Rules.
“Applicable Law(s)” means any applicable local, state, federal, foreign, or international laws, statutes, and regulations, and all applicable orders, judgments, decisions, rules, policies, opinions, or guidelines passed or issued by any government authority or competent court, relating to these Terms or otherwise applicable to you or Ledger in connection with Agent Intent.
"Confirmation" means the affirmative action required to approve an Intent, which may consist of physical confirmation on a Ledger Device or your approval in accordance with your configured Agent Rules within Agent Intent, as indicated to you via Agent Intent.
“Crypto Assets” means a digital representation of a value or of a right that is able to be transferred and stored electronically using distributed ledger technology or similar technology.
“Intent” means a proposed transaction or action (including, without limitation, a send, swap, stake, or reallocation of Crypto Assets, or another action falling within the scope of Agent Rules) that has been formatted and submitted by an AI Agent for your review and, if you so choose, your Confirmation.
“Ledger Device” means an electronic device, developed and distributed by Ledger, generally referred to as a “signer” or “hardware wallet,” used to manage and secure your Private Keys and other cryptographic secrets.
“Ledger Wallet” means the mobile and desktop software application developed by Ledger which provides access to device applications and services. Agent Intent is currently made available separately via the Agent Intent web portal, and Ledger may in the future integrate equivalent functionality into Ledger Wallet.
“Private Keys” means a critical piece of data used to authorize outgoing transactions on blockchain networks.
“Third Party Service” means any service, application, software, agent framework, agent hosting platform, agent marketplace, website, or other material that is hosted, developed, and/or operated by a party other than Ledger, including without limitation any AI Agent framework or agent source that is not developed, owned, or operated by Ledger, and any swap, exchange, staking, or other transactional service provider that ultimately executes an approved Intent.
“User” means you, the individual or entity using Agent Intent.
“24-word Recovery Phrase” means a confidential combination of human-readable words, generated by a Ledger Device, from which your Private Keys are derived, and which is used to back up and restore access to Crypto Assets on other Ledger Devices or compatible wallets.
2. Eligibility
To be eligible to use Agent Intent, you must be at least 18 years old and have full legal capacity to enter into these Terms. If the law of your jurisdiction sets a higher age or standard of legal majority, you must meet that higher standard. Ledger may suspend or terminate your access to Agent Intent where any of these conditions ceases to be met.
If you access or use Agent Intent on behalf of a legal entity (including an employer, fund, treasury desk, or other organization), you represent and warrant that: (a) the entity is duly organized and validly existing under the applicable laws of the jurisdiction of its organization; and (b) you are duly authorized by that entity to act on its behalf and to bind it to these Terms. In that case, “you” and “User” in these Terms refer to that entity as well as to you individually, and the entity is bound by, and responsible for compliance with, these Terms to the same extent as if it had accepted them directly. Use of Agent Intent by an entity’s employees, contractors, or other personnel remains subject to these Terms, and the entity is responsible for their compliance with these Terms in connection with that use.
3. Nature of Agent Intent — No Advice, No Custody, No Management
Ledger does not provide financial, tax, investment, or legal advice through Agent Intent. Ledger does not manage, recommend, select, or endorse any Crypto Asset, allocation, trading strategy, validator, swap provider, or rate. Any description of an AI Agent as “personal,” “managing,” “optimizing,” or “reallocating” your Crypto Assets refers only to actions proposed by that AI Agent for your review; it is not, and must not be understood as, a description of any service performed by Ledger, and it does not create any advisory, management, or fiduciary relationship between you and Ledger or its Affiliates.
Specifically, and without limitation:
Ledger does not hold, manage, or have access to your Crypto Assets, Private Keys, or 24-word Recovery Phrase at any time, whether or not you use Agent Intent.
Ledger does not select, recommend, or endorse the specific swap providers, exchange rates, validators, or staking positions that may be referenced, proposed, or displayed by an AI Agent. Any such information is presented for your review and confirmation only.
Details, prices, rates, or projected outcomes displayed by Agent Intent are provided for informational purposes only, are sourced from Third Party Services, and do not constitute investment advice or a recommendation to transact. Any indicative yields, rewards, or returns are not guaranteed.
Ledger is not a party to any transaction, swap, staking arrangement, or other operation proposed by an AI Agent. The contractual relationship for any such underlying service is between you and the relevant Third Party Service.
4. Your Sole Responsibility for AI Agent Instructions
You are solely responsible for the logic, prompts, financial parameters, and outcomes of any Intent proposed or initiated by an AI Agent, and any Intent you confirm. This includes any AI Agent you configure yourself and any AI Agent operated by a third party that you choose to authorize or connect.
Due to the non-deterministic nature of AI models, instructions, Intents, and other outputs generated by an AI Agent may contain errors, inaccuracies, hallucinated data, or unintended parameters. You must independently verify all transaction details, including the recipient address, amount, network, and fees, directly on your Ledger Device screen or otherwise as displayed to you, before providing Confirmation. Ledger does not warrant or represent that any output generated by an AI Agent is accurate, complete, or fit for any particular purpose.
Agent Intent is designed so that transactions or Intents proposed or initiated through Agent Intent require your Confirmation before they are executed. Ledger's security model relies on this verification step. If you provide Confirmation for an Intent that does not match your intention, that Intent will still execute as confirmed, and you will be responsible for the consequences in accordance with this Section 4.
This Confirmation step verifies that a Confirmation was made; it does not and cannot verify the identity of the person providing that Confirmation. You are solely responsible for maintaining the security of your Ledger Device, PIN, Agent Rules configuration and any other access credentials, and for preventing unauthorized persons from accessing, using or altering your Ledger Device or Agent Rules. Ledger is not responsible for any Intent approved by means of your Ledger Device or Agent Rules, whether or not you personally provided or configured the Confirmation.
5. Agent Registration and Approval Path
You may register one or more AI Agents to propose Intents to you. Registering an AI Agent does not constitute an endorsement, verification, certification, or guarantee by Ledger of that AI Agent, its developer, or the agent source or framework through which it operates — including any “verified since” date, unique identifier, source label, or similar status indicator displayed within Ledger Wallet, which reflects registration or activity information only and is not a representation as to the trustworthiness, reliability, or performance of the AI Agent.
You may remove a registered AI Agent at any time. Removing an AI Agent means it will no longer be able to propose Intents to you; it does not reverse any transaction that has already been signed and executed.
Agent Intent is designed so that no Intent is executed without your review and Confirmation. You may reject any Intent. Rejecting or approving Intents at a low or high rate does not affect your rights under these Terms, and Ledger does not condition your continued use of Agent Intent on any particular approval rate.
6. Compliance and Sanctions
6.1 Compliance with Applicable Law
You shall comply, at your own expense, with all Applicable Laws that apply to or result from your use of Agent Intent, including any Applicable Laws relating to bribery, corruption, money laundering, or the financing of terrorism.
6.2 Sanctions and Export Control
YOU AGREE TO COMPLY WITH APPLICABLE RULES PERTAINING TO EXPORT CONTROL AND SANCTIONS LAWS OF THE APPLICABLE GOVERNMENTAL AUTHORITY HAVING JURISDICTION (SUCH AS EMBARGOES IMPOSED ON SPECIFIC COUNTRIES, OR ECONOMIC SANCTIONS IMPOSED ON INDIVIDUALS OR COMPANIES FOR TERRORISM OR MONEY LAUNDERING OFFENCES), INCLUDING THE U.S. EXPORT ADMINISTRATION REGULATIONS ADMINISTERED BY THE U.S. DEPARTMENT OF COMMERCE’S BUREAU OF INDUSTRY AND SECURITY (“BIS”), THE U.S. SANCTIONS REGULATIONS ADMINISTERED BY THE U.S. TREASURY DEPARTMENT’S OFFICE OF FOREIGN ASSETS CONTROL (“OFAC”), THE EUROPEAN UNION, ANY EUROPEAN UNION MEMBER STATE, OR HIS MAJESTY’S TREASURY OF THE UNITED KINGDOM (COLLECTIVELY, “EXPORT CONTROL AND SANCTIONS LAWS”).
BY ACCESSING AND USING AGENT INTENT, YOU REPRESENT AND WARRANT THAT YOU ARE NOT ON ANY TRADE OR ECONOMIC SANCTIONS LISTS, SUCH AS (BUT NOT LIMITED TO) THE UN SECURITY COUNCIL SANCTIONS LIST, DESIGNATED AS A “SPECIALLY DESIGNATED NATIONAL” BY OFAC, OR PLACED ON THE U.S. COMMERCE DEPARTMENT’S “DENIED PERSONS LIST” OR THE CONSOLIDATED LIST OF PERSONS, GROUPS AND ENTITIES SUBJECT TO FINANCIAL OR ECONOMIC SANCTIONS MAINTAINED BY THE EUROPEAN UNION, ANY EUROPEAN UNION MEMBER STATE, OR HIS MAJESTY’S TREASURY OF THE UNITED KINGDOM. FURTHERMORE, YOU ARE PROHIBITED FROM USING AGENT INTENT TO ENGAGE IN TRANSACTIONS PROHIBITED BY EXPORT CONTROL AND SANCTIONS LAWS.
LEDGER MAY TAKE ANY ACTION IT REASONABLY CONSIDERS NECESSARY TO COMPLY WITH EXPORT CONTROL AND SANCTIONS LAWS, INCLUDING RESTRICTING, SUSPENDING, OR TERMINATING YOUR ACCESS TO AGENT INTENT, OR DECLINING TO PROCESS ANY INTENT.
6.3 Reporting
If you become aware of any actual or suspected breach of this Section 6, you must let us know immediately, in writing, by email at compliance@ledger.fr.
7. Risks Specific to AI Agents
Use of Crypto Assets, blockchain networks, and Ledger Devices carries inherent risks, including regulatory, technological, and cybersecurity risks, and the risk that Ledger does not store, and cannot retrieve, your Private Keys or 24-word Recovery Phrase on your behalf. In addition to those general risks, you specifically acknowledge the following risks that arise from the use of AI Agents:
Non-determinism. AI models may produce different outputs for the same or similar prompts, and may misinterpret your instructions, resulting in an Intent that does not reflect what you intended.
Third-party agent risk. Ledger has no control over, and no responsibility for, the design, security, or conduct of any AI Agent.
Prompt and data handling. Prompts, instructions, and related data that you provide to an AI Agent may be processed or stored by that AI Agent's operator in accordance with its own terms and privacy practices, and not Ledger's. Any processing of your personal data by Ledger in connection with Agent Intent is described in Ledger's Privacy Policy.
No guarantee of favorable terms. Any amounts, rates, or quotes presented by an AI Agent may vary and may be refreshed or superseded before you provide Confirmation. You should review the final transaction details as displayed to you before providing Confirmation. Any amount ultimately received may differ from the amount displayed at the time of Confirmation due to market movement, slippage, or the terms of the relevant Third Party Service. Ledger is not responsible for any such difference, which is a matter between you and the relevant Third Party Service.
Prompt injection and agent compromise. An AI Agent may be manipulated by third-party content it processes, or compromised, including through theft of its credentials or secrets, such that Intents purporting to come from a registered AI Agent do not reflect your instructions or were not sent by the AI Agent you authorized.
Availability and latency. Agent Intent, an AI Agent, or a Third Party Service may be unavailable or delayed, and an Intent may expire, fail, or execute on terms different from those displayed.
Chained actions. A single approval may authorise an on-chain interaction whose downstream effects, including interactions with smart contracts you have not reviewed, are not fully displayed.
Pending and asynchronous Intents. An AI Agent may draft and queue an Intent for your review and approval at a later time. Conditions underlying a pending Intent — including the AI Agent's availability, its operator's terms of service, or the terms offered by a Third Party Service, among other things — may change or lapse between the time an Intent is queued and the time you review it on your Ledger Device. You are responsible for confirming that a pending Intent still reflects your current intention before approving it.
8. Third Party Services
8.1 General
Agent Intent may incorporate, reference, or provide access to Third Party Services, including AI Agent frameworks, agent hosting platforms, agent marketplaces, and the underlying swap, exchange, staking, or other transactional service providers that ultimately execute an approved Intent. You agree that your use of any Third Party Service is subject to separate terms and conditions between you and that third party, which terms and conditions may vary depending on your jurisdiction. It is your responsibility to review and understand the applicable terms and conditions of any Third Party Service before using it.
Your use of a Third Party Service is governed by the agreement between you and that third party. Before using a Third Party Service through Agent Intent, you must review and accept its terms and conditions directly with that third party. Ledger is not a party to that agreement and does not accept, transmit, or conclude it on your behalf.
8.2 No Warranty for Third Party Services
Ledger is not responsible for the content, accuracy, security, availability, performance, or failure to perform of any Third Party Service, or any issue arising in connection with your use of a Third Party Service. Ledger does not guarantee that access to any Third Party Service will be uninterrupted or free of delay, failure, error, omission, or loss of transmitted information or funds, and Ledger shall not be liable for any such Third Party Service. You agree to use Third Party Services at your own risk. Ledger reserves the right to block or restrict access to a Third Party Service through Agent Intent at any time and without prior notice, including where the relevant third party fails to comply with Applicable Law.
8.3 Fees
The use of a Third Party Service may be subject to transaction fees or other fees charged by that Third Party Service. Ledger reserves the right to separately charge fees for the secured and facilitated access it provides to Third Party Services through Agent Intent.
8.4 Disclaimer
Crypto transaction services are provided by third-party providers. Ledger provides no financial advice or recommendations on use of these third-party services.
9. Intellectual Property
Ledger owns all copyrights, trademarks, know-how, and other intellectual property rights in and to Agent Intent, the Agent Intent web portal, and any associated software, documentation, or materials, except for materials made available under public, open-source, or other non-proprietary license schemes normally used by the Ledger community. Subject to your compliance with these Terms, Ledger grants you a limited, non-exclusive, non-transferable, and revocable license to use Agent Intent for your own personal and internal business purposes. Any use of Agent Intent other than as specifically authorized in these Terms, without Ledger's prior written permission, is strictly prohibited and may result in immediate termination of your access.
10. Warranties and Limitation of Liability
10.1 No Warranty
Ledger will use a reasonable level of skill and care to ensure that Agent Intent can be accessed by you in accordance with these Terms, but there is no guarantee that access and features will not be interrupted, or that there will be no delays, failures, errors, omissions, corruption, or loss of transmitted information. Agent Intent is provided “as is,” in early experimental development, without warranty of any kind, whether express or implied, and in particular without implied warranties of merchantability, reliability, and fitness for a particular purpose.
10.2 Limitation of Liability
YOU EXPRESSLY UNDERSTAND AND AGREE THAT LEDGER AND ITS DIRECTORS AND EMPLOYEES SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (I) THE USE OR INABILITY TO USE OR ACCESS AGENT INTENT; (II) ANY CHANGES MADE TO AGENT INTENT OR ANY SUSPENSION OR CESSATION OF AGENT INTENT OR ANY PART THEREOF; (III) THE UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (IV) THE DELETION OF, CORRUPTION OF, OR FAILURE TO STORE, SEND, OR RECEIVE YOUR TRANSMISSIONS OR DATA ON OR THROUGH AGENT INTENT; AND (V) ANY OTHER MATTER RELATING TO AGENT INTENT, INCLUDING WITHOUT LIMITATION LOSS OF CRYPTO ASSETS, UNAUTHORIZED ACCESS, SMART CONTRACT EXPLOITS, OR TRANSACTION MALFUNCTION.
The above limitations do not apply in respect of loss resulting from (a) Ledger's fraud, wilful misconduct, or gross negligence; or (b) death or personal injury.
10.3 No Contractual, Advisory, or Fiduciary Relationship
Use of Agent Intent does not establish any advisory or fiduciary relationship between you and Ledger SAS or its Affiliates.
11. Assignment
You may not assign your rights or obligations under these Terms, in whole or in part, to any third party. You acknowledge and agree that Ledger may assign its rights and obligations under these Terms and, in that context, share or transfer information provided by you while using Agent Intent to a third party, subject to Applicable Law.
12. Changes to these Terms
We reserve the right to alter, amend, or modify these Terms from time to time, in our sole discretion, including due to legislative or regulatory measures, technical developments, or changes to Agent Intent. We will provide you with notice of such changes through the Agent Intent web portal or Ledger Wallet. Changes take effect on the date specified in that notice, which shall be no less than one (1) month after notice is given. Your continued use of Agent Intent after that date constitutes your acceptance of the changes. If you do not agree to the changes, you must stop using Agent Intent before that date.
13. Governing Law and Jurisdiction
These Terms will be governed by and interpreted in accordance with the laws of France, unless mandatory consumer protection laws in your country of residence require otherwise.
In the event you are unhappy with Agent Intent, please reach out to Ledger Support in the first instance via the Contact Us link at https://support.ledger.com.
If you are a consumer, you may use a free and confidential dispute resolution procedure in order to find an amicable solution to any dispute. In France, in accordance with the provisions of the French Consumer Code on the amicable settlement of disputes, Ledger is a member of the E-commerce Ombudsman Service of the FEVAD (Federation of e-commerce and distance selling), the contact details of which are as follows: Médiateur de la consommation FEVAD BP 20015 – 75362 PARIS CEDEX 8 – http://www.mediateurfevad.fr. Unless mandatory consumer protection laws in your country of residence require otherwise, any dispute, controversy, difference or claim arising out of or relating to these Terms, including the existence, validity, interpretation, performance, breach or termination thereof or any dispute regarding non-contractual obligations arising out of or relating to it shall be referred to and finally resolved by the competent courts of Paris, France.
These Terms have been translated and made available in different languages. Notwithstanding any translation, you agree that, in the event of a dispute arising out of or relating to these Terms, only the English version shall be referred to and shall prevail.
